01

Agreement & scope

These Terms of Service govern your use of the Orbit AI LLC ("Orbit", "we", "us" or "our") website and, where incorporated into your agreement, our scheduling services. By using the website or agreeing to a service order that incorporates these terms, you agree to the applicable terms.

If you act on behalf of a clinic or other organization, you must have authority to bind it. If you do not agree, do not use the website or service.

A signed service agreement or order governs the services purchased by a clinic. If it conflicts with these general terms, the signed agreement controls. Any Business Associate Agreement or data-protection agreement controls matters within its scope.

02

Our scheduling service

Orbit develops software to help dental and aesthetic clinics coordinate open appointment slots through clinic-directed text and voice communications. The features, integrations and support included in your service are specified in your order or service agreement.

Orbit does not provide healthcare, medical advice or emergency services. Clinics remain responsible for clinical decisions, appointment suitability, patient care and the accuracy of their schedules. Do not use the service for urgent or emergency communications.

Requesting a demo does not create a paid subscription. Illustrative schedules and conversations on the website are examples, not promises of particular results.

03

Clinic responsibilities

  • Provide accurate business, appointment and contact information, and keep it up to date.
  • Have the necessary authority, lawful basis and any required patient consent to share information and send text or voice communications.
  • Follow applicable healthcare privacy, telecommunications and consumer-protection requirements, including opt-outs and restrictions on contact times.
  • Set appropriate scheduling rules and review communications and appointments as needed.
  • Protect account credentials and promptly notify us of suspected unauthorized use.

A clinic is responsible for the information and instructions it supplies. Automated communications do not remove the clinic’s legal or professional responsibilities.

04

Acceptable use

You must not use the website or service for unlawful, deceptive, abusive or discriminatory activities; send unauthorized messages or spam; upload malicious code; interfere with the service; or attempt to access another party’s accounts or information without permission.

You must not bypass access restrictions, misuse patient information or misrepresent Orbit as a medical professional. Any testing of service security requires our prior written permission.

05

Privacy & patient data

Our Privacy Policy explains how we handle website and service information. Clinic-controlled patient data is also governed by the applicable service and data-protection agreements.

Do not submit protected health information through the website demo form or general inquiries. Before sharing information subject to HIPAA, the required Business Associate Agreement and appropriate safeguards must be in place. These terms alone are not a Business Associate Agreement.

The clinic retains its rights in the information it provides. It authorizes Orbit to process that information as needed to deliver the agreed service, subject to the applicable agreements and law.

06

Fees & cancellation

Plans are billed monthly as agreed in your order. Your order or service agreement specifies the price, included usage, any additional charges and applicable payment terms. Website pricing does not replace your agreed order.

You may cancel at the end of any billing period. Contact info@orbitfill.com to arrange cancellation. Any refund entitlement, outstanding charges and data-return or deletion arrangements are governed by your agreement and applicable law.

Any change to contracted pricing will be handled according to your agreement and applicable notice requirements.

07

Intellectual property

Orbit and its licensors retain rights in the website, software, branding and related materials. Subject to your agreement and compliance with these terms, you may use the service for your organization’s agreed business purposes.

No ownership of Orbit’s software or branding is transferred to you. Third-party products and materials remain subject to their respective owners’ rights and license terms.

08

Third-party services

The service may depend on clinic systems, telecommunications networks and other third-party providers. Their availability, policies and terms may affect how integrations and communications operate.

You are responsible for any third-party accounts or permissions your clinic needs. We cannot guarantee the availability of external systems or that every message will be delivered or answered.

09

Availability & disclaimers

Except as expressly stated in a signed agreement, and to the extent permitted by law, the website and service are provided "as is" and "as available", without warranties of uninterrupted operation, fitness for a particular purpose or specific commercial results.

We do not guarantee that an open appointment will be filled, that a patient will attend or that the service will generate a particular amount of revenue. Maintenance, technical issues or third-party interruptions may affect availability.

Nothing in these terms excludes any warranty or right that cannot lawfully be excluded.

10

Limitation of liability

To the extent permitted by applicable law, Orbit AI LLC is not liable for indirect, incidental, special or consequential losses arising from use of the website or service, including lost profits or business opportunities.

Any further allocation of liability is set out in your signed service agreement. These terms do not limit liability that cannot be limited by law or override obligations in an applicable Business Associate Agreement.

11

Suspension & termination

We may restrict or suspend access where reasonably necessary to address unauthorized use, a security risk, unlawful activity or a material breach, subject to your agreement and applicable law. Where appropriate and practicable, we will provide notice and an opportunity to resolve the issue.

Termination of a paid service, any outstanding payment obligations and handling of clinic data are governed by the applicable service and data-protection agreements. Ending service does not remove obligations that are intended to continue.

12

Changes & legal questions

We may update these terms and will notify customers of material changes. Changes to an existing signed agreement must follow that agreement’s amendment process. The date at the top identifies the latest revision.

Governing law and dispute-resolution arrangements for a clinic subscription should be set out in the signed service agreement. Nothing in these terms removes mandatory rights or protections under applicable law.
